Content Submission Agreement

Mission Based Media LLC, doing business as HealthPodcast.Org ("HPO", "we", "us"), operates Health Podcast Library, a curated podcast discovery platform accessible at healthpodcastlibrary.com.

Your Podcast Submission

By submitting your podcast to Health Podcast Library, you authorize HPO to access your RSS feed and display your podcast content on Health Podcast Library. You acknowledge and agree to the following terms:

1. License Grant

You grant HPO a worldwide, non-exclusive, royalty-free license to:

Access and retrieve content from your podcast RSS feed
Display your podcast, including episodes, titles, descriptions, and artwork, on Health Podcast Library
Stream your podcast audio to users of Health Podcast Library
Reproduce, transcode, and process your podcast for display and streaming purposes
Use your podcast name, branding, and associated marks in connection with Health Podcast Library

2. No Cost / No Payment

You are providing access to your podcast at no cost to HPO. HPO is not required to pay you any fees in connection with displaying or streaming your podcast. You will not receive any revenue from advertisements displayed on Health Podcast Library in connection with your podcast.

3. Advertisements

HPO may display advertisements to users in connection with your podcast, including banner ads, display ads, and other promotional content shown alongside your podcast listings. These advertisements are separate from your podcast audio content. You acknowledge that you will not receive revenue from such advertisements.

4. Your Content Responsibilities

You represent and warrant that:

You have all necessary rights, licenses, and permissions to submit your podcast to Health Podcast Library
You have obtained all required music rights, performance rights, and clearances for any music or audio content in your podcast
Your podcast content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity
Your podcast complies with all applicable laws and regulations
Your podcast metadata accurately describes your content
If your podcast is directed at children under 13, you have properly categorized it as such

You are solely responsible for obtaining and maintaining all necessary licenses from music rights organizations (ASCAP, BMI, SESAC, etc.) and paying all associated royalties and fees.

5. Promotional Content in Your Podcast

If your podcast includes advertisements, sponsorships, product placements, or endorsements, you agree to:

Clearly identify such promotional content as required by law
Ensure all promotional content complies with applicable advertising regulations
Not include promotional content that advertises or promotes HPO’s direct competitors

6. Data and Privacy

You agree that you will not:

Collect or retain information about podcast listeners through Health Podcast Library
Use data mining, scraping, or similar tools to gather data from Health Podcast Library
Attempt to identify individual listeners from any anonymized data provided by HPO

If HPO provides you with listener analytics or data, you agree not to use such data for targeted advertising or to create listener profiles.

7. No Guarantee of Publication

HPO reviews all podcast submissions and reserves the right to accept or decline any submission. HPO may remove your podcast from Health Podcast Library at any time, with or without notice, at HPO’s sole discretion. HPO is under no obligation to display or continue displaying your podcast.

8. Public Statements and Promotion

You may promote your podcast’s availability on Health Podcast Library. However, you may not issue press releases or make public statements that misrepresent the nature of the relationship or suggest endorsement by HPO without prior written approval.

9. Metadata Requirements

Your RSS feed must include accurate metadata that properly describes your podcast content using standard podcasting categories. You are responsible for maintaining accurate and up-to-date information in your RSS feed.

10. Intellectual Property Ownership

You retain all ownership rights to your podcast content. HPO retains all ownership rights to Health Podcast Library, including all associated trademarks, logos, and intellectual property.

11. HPO’s Rights and Disclaimers

HPO does not endorse any podcast content submitted to Health Podcast Library. HPO expressly disclaims any liability in connection with submitted content, including any opinions, recommendations, or advice expressed in podcasts.

HPO may modify, suspend, or discontinue Health Podcast Library or any features thereof at any time without notice or liability.

12. Copyright Infringement / DMCA

HPO respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on Health Podcast Library infringes your copyright, please contact:

Your notice must include:

Identification of the copyrighted work claimed to be infringed
Identification of the infringing material and its location on Health Podcast Library
Your contact information (address, telephone, email)
A statement that you have a good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
Your physical or electronic signature

13. Indemnification

You agree to indemnify and hold harmless HPO, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

Your podcast content
Any breach of these terms
Any infringement of third-party rights
Any violation of applicable laws

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF HEALTH PODCAST LIBRARY OR THE DISPLAY OF YOUR PODCAST.

HPO provides Health Podcast Library "as is" without warranties of any kind, either express or implied.

15. Termination

Either party may terminate this agreement at any time. Upon termination:

HPO will cease displaying your podcast on Health Podcast Library
HPO may retain archival copies as required by law
Your indemnification obligations survive termination

16. Modifications

HPO may modify these terms at any time by posting updated terms. Continued submission or display of your podcast after changes constitutes acceptance of modified terms.

17. Governing Law

This agreement is governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in Wilmington, Delaware under AAA Commercial Arbitration Rules.

18. Entire Agreement

This agreement constitutes the entire agreement between you and HPO regarding your podcast submission to Health Podcast Library.
